We have an exciting opportunity for you to join our team as Senior Manager, Co-Sec. Reporting to the Head of Company Secretarial , this full-time and permanent position is based in Vistra Australia (either Sydney or Melbourne office) and offers regional coverage, allowing you to make a significant impact on our Company Secretary department and its’ growth.

 

Key responsibilities:

 

  • Act as named Company Secretary of public listed, public unlisted, propriety and NFP Australian entities.
  • Manage a portfolio of clients and oversee day-to-day management of the Company Secretarial function and governance matters, including Board/Committee meeting coordination and attendance.
  • M&A and capital markets guidance and oversight in accordance with the regulatory requirements of the Corporations Act and ASX Listing rules.
  • Oversight and preparation for the client portfolio’s Annual General Meetings and General Meetings, including drafting of Notice of Meetings
  • Maintenance and oversight of statutory records for the Group’s entities and all subsidiaries, including ASIC compliance.
  • Prepare ASX announcements, drafting/reviewing of agreements, and be responsible for the preparation of minutes and circular resolutions.
  • Responsible for thepreparation and review of Corporate Governance documents.
  • Oversight and preparation of Share and Security issues (including performance rights and options)
  • Ensuring all compliance deadlines are met, internally and externally as per ASX and ASIC requirements including quarterly, semi-annual and annual reports.
  • Managing direct reports (where applicable) and assisting with development and training of reports.
  • Liaising with various stakeholders including regulators, shareholders, advisors, and registries.   


Key requirements:

 

  • Graduate in law, commerce or Company governance (desirable)
  • Proven strong administration skills.
  • Previous experience working as a Company Secretary or above in a Legal team where knowledge of company secretarial and legal matters has been obtained.
  • Experience in reviewing legislation and the ASX Listing Rules, drawing conclusions, identifying trends and issues, and diagnosing the root cause of issues.
