We have an exciting opportunity for you to join our Real Estate team as Senior Corporate Lawyer. Reporting to the Manager Legal Services, this full-time and permanent position is based in The Netherlands allowing you to make a significant impact to our Real Estate team and its’ growth.
Key responsibilities:
- Preparation and/or review of resolutions, agreements, poa's and other documents related to legal transactions, and coordination with third party service providers;
- Assistance with preparation and review of legal documentation for the board and general meetings;
- Coordination, review and preparation of legal documentation for approval and adoption financial statements as well as coordination of and assistance to the auditor;
- Identify compliance risks.
- Timely and accurate professional daily management of client entities and corporate legal matters in accordance with Dutch corporate law and regulations.
- Client files are maintained properly, through timely and accurately drafted, reviewed and revised required corporate legal documentation.
- Deadlines of corporate legal matters of client entities are being safeguarded.
- Legal and fiscal aspects of client structures/ and Real Estate transactions are being identified and third parties are being consulted for advice if needed.
- Participates in (board)meetings with clients and/or advisors.
- Proactively identifying any potential (Director's) liabilities.
- Awareness of all developments within the client structure/group and possible commercial opportunities are identified and shared with team memebers.
- Proactive and professional (verbal and written) communication with clients, shareholders, advisors and other relevant parties concerning legal matters.
- Professional business relationships with clients are built and managed.
- Proposals for the purpose of development of new products and strategy in acquisition of new clients are communicated to the Business Development team.
- Monitoring and coaching more junior Legal Services Lawyers in their day to day job.
- Team Management receives professional and thorough input for appraisals of more junior Legal Services Lawyers.
- Appraisal meetings with more junior Legal Services Lawyers are being attended in cooperation with Manager Legal Services.
Key requirements:
- Excellent command of the English language, verbal and written. Dutch is preferred.
- Sound knowledge of software packages, i.e. Microsoft Office
- Sound knowledge of accounting standards and legislation (Book 2, Title 9)
- 4 - 8 years corporate legal experience (with a corporate service provider)
- Experience in managing / coaching (junior) legal team members.
- Master in Law (preferably Dutch Law with emphasis on corporate law, notarial law or tax law)
