We have an exciting opportunity for you to join our team as Senior Associate, Specialist Corporate Governance. Reporting to the Associate Director, Corporate Governance Advisory Lead, this full-time and permanent position is based in United Kingdom and offers regional coverage, allowing you to make a significant impact to our department and it’s growth.
Purpose of Role
Provide excellent company secretarial, corporate governance and board support services to a portfolio of listed and regulated companies, ensuring that their needs are interpreted precisely and responded to correctly.
Scope
This role will be part of a closeknit team of 5 individuals within our broader Corporate Governance and Secretarial department, providing specialist governance, board support and company secretarial services to a varied client base.
Key Responsibilities
- Provide company secretarial, corporate governance and board support services to a portfolio of listed and regulated companies, ensuring that their needs are interpreted precisely and responded to correctly and that the client is kept regularly informed of progress and costs;
- Provide high quality board, committee and shareholder meeting support to clients, including coordinating agendas and papers, attending board, committee and general meetings throughout the UK, taking accurate and comprehensive minutes and circulating for review.
- Be fully conversant with the relevant systems, procedures and services of both the Specialist Corporate Governance department and Vistra as a whole and to work with colleagues to ensure that the work processes of the Specialist Corporate Governance department are carried out efficiently and effectively.
- Work closely with clients, identifying ways in which we can develop the relationship and ensure client retention.
- Work closely with other members of the Specialist Corporate Governance department in identifying areas where current systems and services can be developed.
- Support the Associate Director of Specialist Corporate Governance in delivering against SLAs agreed for each client with best-in-class services
- Ensure prompt and proper billing against all client engagements
- Support the Associate Director of Specialist Corporate Governance in growing the client portfolio, working alongside other Vistra teams in a commercial and service delivery and product capacity.
- Ensure that files are compliant with current money laundering regulations, conduct ongoing client contact to ensure that the customer due diligence information requested is received within a reasonable time frame.
- Maintain systems that enable us to manage and control customer due diligence activity and reporting all concerns in respect of suspicion of money laundering activity to the Compliance Officer.
Attributes/Technical Skills
Essential:
- Experience of company secretarial transactions, filing and notification requirements and using company secretarial software.
- Experience of coordinating agendas and board papers, and preparing board packs
- Proactive and self-motivated.
- Personable and enthusiastic team player, with a confident, professional and commercial outlook.
- Excellent written and oral communication skills in English.
- Extremely strong attention to detail.
- Capable of working under pressure and with minimal supervision.
- Applicants must have the right to work in the U.K.
Desirable:
- Experience of attending board meetings and taking accurate and comprehensive minutes and circulating for review.
Relevant Experience
Essential:
- minimum two years’ experience in the company secretarial field
- Computer literate with specifically strong knowledge of Word, PowerPoint and Excel.
Desirable:
- knowledge of secretarial systems and software (e.g. Diligent)
Education and Professional Qualification
Essential: educated to degree level, ICSA qualified (or nearly qualified)
