Vistra Netherlands is recruiting an energetic and experienced Legal Counsel for the In-house Legal Department to take on a central role within our dynamic global organization. The In-house Legal Department is responsible for Vistra’s legal affairs in the Netherlands.
As a Legal Counsel within the In-house Legal Department, you will be responsible for a variety of local and cross-border corporate and commercial legal matters (e.g. contract negotiations, client termination, claims and proceedings management and corporate housekeeping). In addition, you will take part in the Vistra Risk Committee, provide employee training on legal subjects and coach the Junior Legal Counsel. For this position, it is essential that you have a flexible mindset and the drive to really understand the business. You have strong communication skills and a strong personality.
You will work closely with the Head of Legal and the Junior Legal Counsel. You need to be available for a minimum of 32 hours and you will be based in our Amsterdam office/work remotely.
Key responsibilities
- Act as a value added business partner by providing accurate, pro-active, professional and solution orientated legal support and advice on a wide array of topics linked to running a company providing trust services, corporate services, depositary services and escrow services;
- Act as an advisor to the management team;
- Assist Head of Legal with review of (complex) in-house contracts, complex legal matters, business partnership and management of (potential) claims & proceedings;
- Legal assistance in connection with in-house (Group) projects and development of new products;
- Member of Vistra Risk Committee;
- Responsible for in-house corporate housekeeping (including works council requests as required) and any other in-house related matters;
- General in-house GDPR assistance;
- Development of legal documents;
- Provide training across the organization on legal matters.
Key requirements
- In-depth knowledge of corporate and commercial law, GDPR knowledge is a plus;
- Excellent command of the Dutch and English language, both written and verbal;
- A strong personality, accurate, independent, self-starting, pragmatic and a team-player;
- Daring to engage with the business without losing sight of the reputation and values of Vistra;
- 4+ years’ work experience, gained as a lawyer within a law firm and/or as an in-house legal counsel, preferably in an international environment;
- Experience within financial services is a plus;
- Completed a Bachelor's and Master’s degree in Dutch Law (preferably civil law or corporate law).
