For our Amsterdam office, Vistra Netherlands is looking to recruit a Junior Legal Services Lawyer who is available for 40 working hours for our largest Private Equity client portfolio.
Scope As a Junior Legal Services Lawyer, you are committed to providing our largest Private Equity client with the best possible legal services. You will work closely together with our other Legal Services Lawyers to make sure our services are seamlessly connected to each other and delivered to our globally operating client. In close collaboration with our dedicated Relationship Managers and Financial team, our Legal Services Team delivers the requested services in a fast-paced environment.
The team consist of young, energetic professionals that are eager to continuously challenge each other and develop themselves to bring out the best in the team and every individual. You will report into the Manager Legal Services and provide a full range of legal- and corporate secretarial services. You support in the daily activities of Medior and Senior corporate lawyers and act as a resource for colleagues in other departments.
Key Responsibilities
You will manage client entities and corporate legal matters in accordance with Dutch corporate law and regulations.
- Prepare and/or review of resolutions, agreements, power of attorney and other documents related to legal transactions and coordination with third party service providers;
- Prepare and/or review minutes of regular kept board meetings;
- Coordinate, review and prepare bank account (KYC) forms;
- Coordinate, review and prepare legal documentation for approval and adoption financial statements as well as coordination of assistance of auditor;
- Identify the compliance risks and maintenance of compliance files;
- Provide timely and accurate professional daily management of client entities and corporate legal matters under supervision of a manager or Senior Legal Services Lawyer and in accordance with Dutch corporate law and regulations;
- Maintain client files properly, through timely and accurate drafted, reviewed and revised corporate legal documentation;
- Provide timely and accurate administration and coordinate deadlines of corporate legal matters in cooperation with Senior Legal Services Lawyer, or manager;
- Proactively identify any potential (Director's) liabilities;
- Build and manage professional business relationships with clients.
Key Requirements We are looking for a pro-active, persuasive new colleague, with a high focus on quality and client satisfaction. If you are the perfect candidate, you will have:
- General interest or affinity with Private Equity;
- Experience working in a multinational environment;
- Excellent command of the and English language, verbal and written;
- Sound knowledge of Microsoft Office (Excel, Word, Powerpoint);
- Basic knowledge of Book 2 Dutch Civil Code; 1-3 years of relevant experiences;
- Completed Bachelor of Laws (e.g. HBO Rechten) and/or Master of Laws (Dutch Law with emphasis on company law, Notary law or Fiscal law).
