The Depositary team is the best spot you can be in if you want to learn everything about the discrete world of the Alternative Investment Funds; how they operate and generate superior returns for their investors.

Depositary as a service is a relatively young product of Vistra, that originates from the Alternative Investment Fund Managers Directive (AIFMD, 2011). This European law aims to further protect investors following the financial crisis of 2008.

 

Scope

 

As a Junior Depositary Officer your clients will be the top Private Equity houses from the Netherlands and globally whenever they manage a Dutch Fund and meet the AIFMD thresholds. Depositary has three main tasks flowing from the AIFMD: (1) Cash flow Monitoring of all bank accounts for the Fund, (2) Safekeeping duties: ownership verification / record keeping of the assets of the Fund, and (3) Oversight Duties.

 

You will be working in a team of 10 colleagues with legal and financial backgrounds who are highly dedicated and regulatory orientated professionals.

 

 

Key responsibilities

  • Cash flow monitoring: review and reconcile cash-flows related to investments, capital calls / distributions, management fees and other fund expenses;
  • Ownership verification: Verify ownership of the assets of the funds with supporting legal documentation and maintain an up-to date asset register;
  • Oversight: understand and review the investment restrictions and borrowing limits of the fund. Review quarterly reports and reconcile valuation methodologies applied, waterfalls and other key metrics;
  • Identify investments and divestments and review all related deal documentation such as share purchase agreements, deeds of transfer / issuance of shares, loan agreements, notary letters, and share registers;
  • Assist with the on-boarding and intake processes for new prospects and compliance reviews for existing clients;
  • Assist clients and their banks with the bank account SWIFT connection to Vistra’s systems.  
  • Correspondence with clients, fund administrators and maintaining good relationships with all parties involved;
  • Interact with other Vistra teams, and the legal, compliance and finance departments;

 

Key Requirements

  • Excellent command of English (and/or in Dutch) language, verbal and written;
  • 0-3 years’ work experience in finance / audit;
  • Work experience with Alternative Investment Funds (Private Equity) and/or M&A is a plus, affinity is a must;
  • Completed BSc. or MSc. degree in Accountancy, Business Administration or equivalent.
