We are seeking a motivated and detail-oriented Graduate, Co-Sec to join our legal and corporate governance team. Reporting to the Manager, Co-Sec this is a full-time and permanent position based in our Melbourne office. As a Graduate Company Secretary, you will assist with the day-to-day administration of corporate governance, compliance, and secretarial duties for the company. This is an exciting and excellent opportunity for a graduate looking to develop a rewarding career in corporate law and governance.
Key responsibilities:
- Corporate Governance Support: Assist in maintaining statutory records, such as registers of directors, shareholders, and other relevant documents.
- Board and Committee Support: Help with organizing and coordinating board and committee meetings, including preparing agendas, board packs, and taking minutes.
- Compliance Monitoring: Assist in ensuring compliance with regulatory requirements, such as filing annual returns, submitting resolutions, and maintaining corporate records.
- Legal Research and Documentation: Conduct research on corporate governance matters and assist in drafting and reviewing documents, resolutions, and policies.
- Shareholder Communication: Assist in managing shareholder communications, including handling queries and ensuring timely notices for meetings.
- Liaison: Act as a point of contact between the company’s stakeholders, regulators, and the board of directors for corporate secretarial matters.
- Project Support: Provide support in corporate transactions as and when required.
- General Administration: Perform other administrative duties related to corporate governance, compliance, and legal requirements.
- Liaising with share registries on all Company Secretarial matters.
- Assist with the preparation for the client portfolio's Annual General Meetings and General Meetings.
- Drafting of agreements and ASX appendices
- Preparation of Minutes and Circular Resolutions Preparation of Company Governance Documents.
- Assist with the preparation and collation of monthly Board papers for the various entities within the client portfolio.
Key requirements:
- Graduate in law, commerce, finance or Company governance preferred with strong administration skills.
- Familiarity with corporate governance principles and relevant legal frameworks.
- Previous internship or experience in a corporate legal or governance role is beneficial.
