Senior Associate CF

Key Responsibilities:

  • Manage and oversee a Corporate and Company Formation (CF) services team working on a busy portfolio of Corporate, Trust and Investment management clients
  • Supervise and act as a resource for junior staff members, including monitoring and enhancing performance
  • Perform trust administration, corporate director and personal director services including acting as a signatory of Vistra Cayman Trust Limited, client entities and on bank accounts in the fulfillment of these duties
  • Ensure prompt responses to daily client inquiries and the timely efficient delivery of service guided by defined service levels
  • Prepare corporate documents such as, but not limited to, Certificate of Incumbency, Register of Members, Register of Directors, written resolutions, minutes
  • Coordinate with other departments and offices for client service delivery, preparation of invoices and regulatory compliance matters
  • File returns and documents with the Registry, DITC, CIMA etc.
  • Monitor the level of outstanding accounts receivables and apply the corresponding credit control practices to client requests where amounts remain outstanding
  • Monitor regulatory and legislative developments and ensuring compliance with such legislation.
  • Ensure Vistra Group policies and procedures are adhered to (enhancing them when required) at all times to meet all regulatory and AML/CFT/PF obligations
  • Provide weekly/monthly/annual reports to the Managing Director regarding financials/debtors/workflows/staff performance and other reports as requested from time to time
  • Assist with projects and other relevant duties that may be assigned from time to time.
  • Participate in Business Acceptance and Risk Committees
  • Undertake/deliver training, as required
  • Submitting any necessary ad hoc reports and required regular periodic reports to Vistra Group and local management on operations, client service matters, outsourced functions ensuring Vistra Cayman and Vistra Group are managing risk and demonstrating awareness of their obligations with laws, regulations and codes are clear and understood. 
  • Liaison with the Managing Director and Vistra Group in relation to ongoing transformation initiatives
  • Promote and encourage a culture of operational excellence, compliance, ethics and Vistra Values throughout business communicating these values to colleagues.

 

Attributes/ Technical Skills:

  • In-depth knowledge and experience of all aspects of a variety of offshore investment structures including trusts, companies, and funds
  • Understanding of the Companies Act, Banks and Trust Companies Act, International Tax Co-operation (Economic Substance) Act and related requirements
  • Excellent organizational and communication skills and be able to work independently on own initiative to produce accurate and timely work on a consistent basis
  • The ability and desire to work efficiently to tight deadlines and work long hours to meet the needs of clients in different time zones
  • Strong IT skills with knowledge of Viewpoint, SAP, Worksite and Microsoft Office
  • An eye for detail and passion for continuous improvement
  • Excellent inter-personal skills and ability to lead a team and build positive professional relationships
  • Robust organisational, multitasking, time management and follow up skills
  • Demonstrate high levels of integrity in line with the Vistra Values

 

Relevant Experience:

  • Minimum of 5 years’ relevant experience in a top tier firm within the financial services or professional services sector, demonstrating in depth understanding of operational interaction with the Company Registry, CIMA and other key Cayman Islands Competent Authorities
  • Experience of working with financial services teams and co-ordinating with internal departments and external vendors
  • Broad knowledge of a multi-disciplinary and multi-jurisdictional financial services firm with a focus on service provision to Cayman Islands companies, investment and trust structures
  • Experience with an outsourced servicing centre model and regulatory reporting requirements
  • Demonstrated track record in client service with ability to develop and maintain good working relationships with colleagues, clients and other professional intermediaries
  • Baseline knowledge of corporate governance and fiduciary duties

 

Education/ Memberships:

  • Undergraduate degree holder in a relevant discipline (Business, Law or similar)
  • Professional Designation (e.g. STEP, CAMS/ICA, ICSA)
