Reporting to the Manager, US Corporate Secretarial Services , this full-time and permanent position can be based in Latin America or Mexico, allowing you to make a significant impact to our US team and its’ growth.

Scope:

 

As a member of the US Company Secretarial team, you will work with our clients to support their US and global governance function to ensure ultimate compliance.  

Clients span all industry sectors with primary focus being in the Hi-Tech and Biotech/Pharma industries.  Vistra’s internal sector segmentation focuses the role on the Corporates, Private Equity and Funds sectors.  Client requirements range from relatively straightforward corporate secretarial filings to supporting global Director changes and supporting M&A activities.  Clients rely on Vistra’s Company Secretarial services to provide operational and pragmatic support and advice within the context of their industry and business sector. This involves information gathering and research, as well as day to day support for ensuring compliance with company secretarial requirements. 

This role is general in nature within the company secretarial space, so requires a good working knowledge and experience of United States and International company secretarial requirements.  In addition, specialist support is often required to meet the varied demands of the role, utilizing both Vistra offices and potentially third-party partners.

The role requires excellent communication skills, as well as strong project management skills, with preference given to applicants with prior corporate secretarial experience either at a law firm or similar sector firm.  

 


Key responsibilities:

 

  • Provide clients with full scope of company secretarial, regulatory compliance and corporate governance services in compliance with local jurisdiction company ordinances
  • Support the Senior Associate with the preparation and filing of the annual reports as required per county regulations and various states within the US
  • Provide timely delivery of all client mail that we receive on behalf of our clients
  • Provide administrative support to the team (such as document managing, tracking the usage of the company credit card, etc.)
  • Ensure various project tracker or client systems are always up to date to provide client visibility into status of compliance filings
  • Seek appropriate guidance and assistance through internal/external resources or network of external affiliates in order that services are managed to maximum effect with no unexpected invoices
  • Proactively escalate issues for resolution as early as possible and work with management to ensure a positive outcome

 


Attributes / Technical Skills:

 

  • Proven record of providing company secretarial and consulting services 
  • Demonstrable experience engaging diverse geographical teams, work in a fair and consistent manner showing respect, confidence and accepting accountability in line with our vision and values
  • Excellent communication skills – foreign language a plus but not essential
  • Ability to put our clients first and think as our clients do, proposing services to support their needs, and enabling their growth through providing globally compliant solutions 

 

Relevant Experience:

 

  • At least 1-3 years of related experience in the company secretarial field with experience gained from professional firms or law firms
  • Self-motivated, detail-minded and ability to work independently and under pressure
  • Team player with good interpersonal and communications skills
  • Demonstrable experience of project managing multi state and multi country company secretarial projects to ensure delivery of agreed tasks within required deadlines

 

Education / Memberships:

 

  • Bachelor’s Degree or higher-level degree with relevant studies in company secretarial services and corporate governance will also be considered
