We have an exciting opportunity for you to join our team as Assistant Manager, Company Secretary. Reporting to the Director of Funds, this is a full-time, 10-month parental leave cover based in our new Sydney office. This regional role offers the opportunity to work across our Funds business, supporting a diverse client portfolio while making a meaningful contribution to the ongoing growth and success of the team.
Key Responsibilities:
- Manage a portfolio of fund entities ensuring all statutory and regulatory compliance obligations are met accurately and within required timeframes.
- Oversee the preparation, coordination and lodgement of ASIC annual company statements, ASIC Industry Funding obligations, audit relief applications, solvency resolutions and other statutory filings.
- Manage complex corporate actions for fund structures, including director and company secretary changes, share transfers, incorporations, deregistrations, company name changes and registered office changes, ensuring all documentation and ASIC lodgements are completed accurately.
- Coordinate tax registrations and other regulatory compliance requirements for client entities.
- Build and maintain strong relationships with local and international clients, internal stakeholders and regulators, delivering high-quality client service.
- Provide technical guidance to team members and support local and global teams on corporate secretarial and regulatory compliance matters.
Key requirements:
- Tertiary education in law, business, accounting or finance.
- Graduate Diploma of Applied Corporate Governance
- 4+ years prior company secretarial experience and at least one year experience in another professional service firm.
- Prior experience with CAS 360/NowInfinity.Good understanding of Trust and Corporate entities
- Relevant technical knowledge of the Corporations Act (2001)Ability to prioritise, meet deadlines and make sound judgements.
- Demonstrated ability to work autonomously and as part of a team.Excellent attention to detail and commitment to continuous development.
