We have an exciting opportunity for you to join our team as Assistant Company Secretary/Company Secretary this full-time and position is based in Ireland and offers regional coverage, allowing you to make a significant impact to our Capital Markets Department and it’s growth.

 

Key Responsibilities :

 

Delivery of a suite of company secretarial services to the highest standard to include (but not limited to):

  • Maintenance and monitoring of company secretarial filing dates and communication of same to both internal and external client base.
  • Responsibility for timely submission and maintenance of filings with the Companies Registration Office and other relevant regulators (RBO, CRBOT etc.).
  • Co-ordinating company formations and branch registrations in Ireland and UK and responsibility for ongoing annual compliance in both jurisdictions.
  • Serve as a key point of contact for client boards of directors and ensuring comprehensive governance support.
  • Preparation of board meeting minutes and resolutions including attendance at board & member meetings.
  • Oversight/preparation of documentation for Annual General Meetings and assistance with other minutes as required.
  • Maintenance of statutory registers on internal systems and updating minute books and statutory registers.
  • Ensuring effective completion of client transactions to include preparation of necessary corporate documents, attend to statutory filings, review of constitutional documents, Summary Approval Procedures, etc.
  • Ad hoc duties that may be assigned from time to time, share re-orgs, distributions etc.
  • Responsibility for onboarding, training, mentoring and appraising new team members.
  • Assist with planning and delivery of budgetary targets.
  • Assistance with other internal compliance matters as and when required.

Relevant Experience :

  • Experience in a top tier accounting/law firm an advantage.
  • Proven track record of working on a large and diverse portfolio.
  • Experience of company secretarial software RELATE/Blueprint required.
  • Comprehensive knowledge of company law in Ireland.

 

 

Education and Professional Qualification :

  • Primary degree in business, law or accounting an advantage.
  • CGI qualified/part qualified or seeking registration with GCI to undertake qualification with a minimum of 4 years company secretarial experience.
